Anguilla is one of the few jurisdictions to have an Act or
Ordinance dealing specifically with Limited Liability Companies
(LLCs). Although the LLC Ordinance has its
roots in the original (1977) Wyoming legislation, Anguilla LLCs have developed the concept
much further.
An Anguilla LLC can readily be structured so that it
possesses less than three of the four corporate characteristics recognized by the U.S.
Internal Revenue Service, namely (a) continuity of life, (b) limited liability, (c)
centralized management and (d) free transferability of interests. In such case the LLC
will be treated as a partnership. Properly structured, therefore, an Anguilla LLC will
provide its members with limited liability, but provide the advantages of income and
losses passing through to the members, for US income tax purposes.
The Anguilla LLC Ordinance has many features not found in
the original Wyoming legislation, including a provision that its term can be perpetual or
as otherwise provided for in the LLC agreement.
LLC's are often used in joint ventures, venture capital
formation and real estate syndications. The Anguilla LLC can be a limited duration or have
a perpetual life.
An LLC which does no business in Anguilla is exempt
from any corporate tax, income tax, withholding tax, or other like taxes based upon or
measured by assets or income originating outside Anguilla or in connection with other
activities outside Anguilla or in connection with matters of company administration which
may occur in Anguilla.
An LLC shall not be considered doing business in
Anguilla solely because it:
a. Maintains bank accounts in Anguilla.
b. Holds meeting of officers or members in Anguilla.
c. Maintains company or financial records in
Anguilla.
d. Maintains an administrative or managerial office
in Anguilla.
e. Maintains a registered agent in Anguilla.
f. Invests in stocks or entities of Anguilla
companies or being a partner in an Anguilla partnership or beneficiary of an Anguilla
trust or estate.
